MNC TERMS AND CONDITIONS

Introduction

Please review these Terms and Conditions ("Terms") carefully before using the Musicians Network Center website/mobile app or the related website (collectively, the "Service") provided by Ihai Productions Limited Liability Company (LLC), which are wholly owned subsidiaries of Ihai Productions Ltd, a publicly listed American company ("we", "us", or "our").

By accessing or using the Service, you confirm that you accept and will comply with these Terms. These Terms apply to all users, visitors, and others who interact with or use the Service. You confirm that you are at least 18 years old and legally able to enter into a binding agreement. If you are under 18, you confirm that you have your parent's or guardian's permission and that they agree to these Terms on your behalf.

Content

Our Service enables you to post, link, store, share, and otherwise make available various types of content—such as text, images, videos, and other materials—particularly in connection with your MNC free or subscription services (e.g., Digital Distribution, and Publishing) ("Content"). You are solely responsible for the content you post, including ensuring it is legal, appropriate, and reliable.

By posting content, you grant us a license to use, modify, perform, display, reproduce, and distribute it on the Service, and for marketing purposes. You still own your content and remain responsible for protecting your rights. With your permission (via opt-in for MNC Distribution or Publishing), we may share your content with other users, who must also follow these Terms when using it.

Data Usage

Using the Service may require transmitting data over your mobile or internet provider's network. You're responsible for any charges, fees, or data usage costs from your provider related to your use of the Service.

Accounts

When creating an account with us, you must always provide accurate, complete, and up-to-date information. Providing false or outdated details violates these Terms and may lead to the immediate suspension or deletion of your account.

You are solely responsible for keeping your password secure and for all actions taken under your account, whether through our platform or a third-party service.

You agree not to share your password with anyone. You are fully accountable for any activity connected to your account or password. If you discover any security breach or unauthorized use of your account, you must notify us right away.

MNC Intellectual Property (IP)

"MNC IP" refers to all aspects of the Service and its content, including—but not limited to—software, text, images, video, audio, design, layout, and overall functionality. All of this is owned by Ihai Productions or its licensors and is protected under U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws. The name "Musicians Network Center," as well as related logos, product names, designs, and slogans, are trademarks of MNC or its affiliates/licensors. You may not use any of these trademarks without getting written permission from us. Any other trademarks that appear on the Service belong to their respective owners.

All original content and features on the Service (excluding user-submitted content) remain the sole property of Ihai Productions Ltd., its partners, licensors, and assignees. These are protected under applicable laws in the United States and internationally. Our branding and design elements (trade dress) cannot be used with any unrelated products or services without our prior written consent. Nothing in these Terms grants you ownership of our intellectual property.

You are allowed to use the Service only in the way we permit. You are given a limited, non-exclusive, non-transferable, and revocable license to use the Service to create, view, use, play, and download content, as long as you comply with these Terms.

You may not use MNC IP in any way that misrepresents your affiliation with us or harms our reputation.

You're also not allowed to alter any digital or printed content from the Service, or to use images, videos, audio, or graphics separately from their accompanying text.

Any content, advice, opinions, or services shared by users are their own and do not represent MNC's views or responsibilities.

Links to Other Websites

Our Service may include links to third-party websites or services that are not owned or operated by MNC (Musicians Network Center). We do not have control over these external sites and are not responsible for their content, privacy practices, or operations. You acknowledge and agree that MNC. is not liable—either directly or indirectly—for any loss or damage that may result from using or relying on content, products, or services available through these third-party sites.

We offer or enable access to these links purely for your convenience. The presence of a link, whether added by us or by users, does not mean we endorse the linked website.

By choosing to access other sites on the internet, you do so at your own risk.

Changes to the Service and Terms

We're continuously working to improve the Service by adding new features or making enhancements we believe will benefit you. Occasionally, we may also remove certain features. If these changes, in our sole judgment, don't significantly impact your rights or responsibilities, we may implement them without giving you prior notice.

You can choose to delete your account at any time and for any reason by going to the "Settings" section in the app. However, if you signed up through a third-party payment provider (like the App Store or Google Play), you'll need to cancel subscriptions directly through that platform to avoid further charges.

We also reserve the right to terminate your account without prior notice if we believe you've violated these Terms. In such cases, you will not receive a refund for any purchases made.

Premium Services

At times, we may offer paid products or services ("Premium Purchases") through platforms like the In Website Subscription, App Store, iTunes, Google Play, mobile carrier billing, direct billing by MNC, or other approved payment methods. If you decide to make a Premium Purchase, you'll be asked to confirm the transaction with the relevant payment provider. Your chosen payment method—such as a credit card or a third-party account (e.g., Google Play or App Store)—will then be charged the listed price for the selected service(s), along with any applicable taxes.

By proceeding, you authorize MNC. or the third-party platform to charge your payment method accordingly. Additional terms and payment details for Premium Services may be outlined in separate agreements with MNC. from time to time.

Termination

We may suspend or permanently close your account at any time, without notice or liability, for any reason—especially if you violate these Terms.

Once your account is terminated, you will no longer have access to the Service. If you choose to close your account yourself, you can do so by simply stopping use of the Service.

Certain sections of these Terms will still apply even after termination, including those related to ownership rights, disclaimers of warranties, indemnification, and limitations of liability.

We are not responsible for any losses or claims you or others may face due to the suspension or termination of your account or related actions we may take.

If the law requires us to notify you of a termination or cancellation, we may do so either before or after it happens by posting a notice on the Service or sending a message to the contact information we have on file for you (such as an email address).

Indemnification

By using the Service, you agree to take full responsibility for any claims, damages, costs, or expenses—including legal fees—that arise from your use of the Service, violation of these Terms, breach of any laws, or infringement on the rights of others. This includes protecting us and our affiliates, successors, and assigns from any resulting liabilities.

This obligation to indemnify remains in effect even after your account is closed and applies to claims that may arise both during and after your use of the Service.

By using the Service, you agree that we are not responsible for any damages you may experience as a result of using the Service, downloading or sharing content, or interacting with other users.

We are not liable for any indirect, special, incidental, or consequential damages—such as loss of income, profits, data, privacy, business opportunities, goodwill, or other economic losses—regardless of how they arise, even if we were previously informed such damages could occur.

You are solely responsible for protecting your data and devices and for creating backups. You agree not to hold us responsible for lost data, delays, errors, or lost profits caused by your use of the Service. Additionally, your account is non-transferable and cannot be given or sold to another person.

Disputes and Interactions with Other Users

You are entirely responsible for how you interact with other MNC users. While MNC may choose to monitor disputes between users, it is not required to do so. If you have a disagreement with another user, you agree to release MNC and its affiliates from any claims or liabilities related to that dispute. By using the MNC website/app or services, you specifically give up any legal protections that might limit this release to only known or anticipated claims at the time you agree to it.

MNC is not responsible for the actions or content of other users or third parties connected to the use of the Service. You agree to exercise caution when interacting with others, especially if you decide to take your conversations off the platform or meet in person. You should never share sensitive personal or financial information—like credit card or bank account details—or send money to anyone without conducting proper due diligence.

Again, your interactions with others are entirely your responsibility. You understand and accept that MNC does not run background checks or investigate users' histories. MNC offers no guarantees or assurances about the behavior or intentions of its members.

Disclaimer

Your use of this Service is entirely at your own risk. The Service is provided "AS IS" and "AS AVAILABLE" without any guarantees or warranties of any kind, whether explicitly stated or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or consistent performance.

MNC, Ihai Productions LLC., along with its related companies, subsidiaries, affiliates, assigns, and licensors, do not guarantee that:

• the Service will always be available, uninterrupted, or secure at any time or place;
• any issues or errors will be fixed;
• the Service is free from viruses or harmful components; or
• the results you obtain from using the Service will meet your expectations.

Changes and Updates

MNC may update or change these Terms occasionally by posting the new version on the MNC website and/or within the MNC App. This includes the right to add, remove, or modify any part of the Terms. When changes are made, we will update the "Effective as of" date at the start of this Agreement. For significant changes, we will try to give you at least 7 days' notice before the new terms take effect.

It is your responsibility to review these Terms regularly for any updates. If you disagree with any changes, you must stop using the Service. Continuing to use the Service after changes have been made will mean you accept the updated Terms.
